2. Insurance:
– FLSPC will maintain necessary insurance types, including Commercial General Liability, Worker’s Compensation, Automobile, and Professional Liability insurance.
3. Client Responsibilities:
– The client must provide necessary information and access.
– Payment is not contingent on receiving agency approvals.
4. Work Timelines:
– Work commences after receiving a signed proposal.
– Delays caused by external events or client actions may extend the timeline.
5. Changed Conditions:
– Any unforeseen circumstances may lead to renegotiation.
6. Compliance with Laws:
– FLSPC’s work will adhere to all applicable laws, and the client indemnifies FLSPC against compliance-related claims.
7. Professional Standards:
– FLSPC will maintain professional and ethical standards, and conflicts with client instructions may lead to termination.
8. Ownership of Documents:
– All documents prepared by FLSPC remain their property.
9. Defects in Services:
– The client must report any defects promptly.
10. Indemnification & Limitation of Liability:
– FLSPC indemnifies the client for claims arising from their negligence. Client liability is limited to the total fee for services.
11. Dispute Resolution:
– Disputes may be resolved via litigation or binding arbitration.
12. Termination:
– Either party may terminate with 10 days’ notice for substantial failure to perform.
– FLSPC will be paid for work up to termination, plus any reasonable termination expenses.
13. Governing Law:
– The agreement is governed by the laws of the state where FLSPC is domiciled.
14. Assignment of Duties:
– The client cannot assign duties or interests without FLSPC’s consent.

– Surveys and mapping help with permits and approvals, but FLSPC is not responsible for locating buried or filled structures.
– The client is responsible for contracting independent utility detection companies if needed.
Utility and Subsurface Notes:
– Information on underground utilities is based on contractor-provided details and not guaranteed by FLSPC.
